The short version: confided helps you and your counterparty execute a standard NDA. The agreement you sign is between the two of you, and it's your responsibility to make sure it fits your situation.
What confided is
confided is a tool for creating, sending, and executing non-disclosure agreements based on the oneNDA standard template. We handle the routing: collecting each party's details, verifying email addresses, gathering signatures, and sending both parties a record of the executed agreement.
We're not your lawyer
confided is not a law firm and doesn't provide legal advice. The oneNDA template is a widely used standard, but no template fits every situation. If you're unsure whether it's right for yours, speak to a qualified lawyer before signing.
Your agreement is with your counterparty
Any NDA executed through confided is a contract between the parties named in it. confided is not a party to your NDA and has no obligations or rights under it.
Electronic signatures
By typing your name and clicking sign, you agree that this constitutes your electronic signature, that you intend to be legally bound by the agreement, and that an electronic record of the executed NDA satisfies any requirement for a written agreement.
Your responsibilities
When you use confided, you confirm that:
- the details you enter are accurate
- you have authority to sign on behalf of any entity you name
- you control the email address you provide
- you won't use the service to impersonate anyone or send unsolicited agreements
Email verification
We verify that each party controls the email address they use. We don't independently verify anyone's legal identity, authority, or capacity beyond that.
The service
confided is provided as-is. We work to keep it available and reliable, but we don't guarantee uninterrupted access, and we may change or improve features at any time. To the maximum extent permitted by law, confided isn't liable for any loss arising from your use of the service or from any agreement executed through it.
Changes to these terms
We may update these terms from time to time. If you keep using confided after an update, that means you accept the new terms.
